Start with the structure that fits your next milestone

Canadian founders often choose between a Delaware C-Corp and a Wyoming LLC. The best answer depends on fundraising, ownership, where the team works, and whether the company has a real operating footprint in another state.

Wyoming LLC

A practical starting point for many bootstrapped, consulting, software-service, and remote businesses that do not need institutional equity yet.

  • ✓Simple operating agreement and administration
  • ✓No Wyoming state income tax
  • ✓$60 commonly quoted annual report fee
  • ✓Can convert later if fundraising changes the plan

Formation sequence

Form the entity first, then apply for the EIN and open banking. Keep the Canadian owner, legal name, address, registered agent, and ownership records consistent.

  • 1.File formation documents
  • 2.Appoint a registered agent in the state
  • 3.Save bylaws or an operating agreement
  • 4.Apply for the EIN with Form SS-4

Canadian parent or individual owner?

A Canadian corporation can own the US entity, but intercompany agreements, transfer pricing, foreign-affiliate reporting, and banking evidence add complexity. Direct founder ownership can be simpler, but still needs Canada-US tax advice.

  • ✓Map IP, contracts, management, and money flows
  • ✓Review CRA foreign-affiliate reporting
  • ✓Do not treat formation as a tax conclusion

Before you file

Entity choice affects tax, fundraising, banking, and immigration. If you plan to work physically in the United States, get immigration advice before assuming that owning a US company authorizes work.

Canadian-friendly US banking, with a prepared application

Start with a provider that matches your remote setup. Approval is never guaranteed, but Canadian founders can present a strong file when the entity, EIN, ownership, address, website, and business model line up.

Choose the state that matches the operation

Delaware and Wyoming are formation choices, not a blanket exemption from the rules where the business actually operates. A physical office, employees, inventory, or sustained activity elsewhere may require foreign qualification and local tax registrations.

When another state is required📍

Operating state

If the company has a real office, employees, inventory, or sustained activity in California, New York, Texas, Florida, Washington, or elsewhere, model local registration before defaulting to Delaware or Wyoming.

  • Foreign qualification may add fees
  • Local payroll and sales-tax rules can apply
  • Physical operations usually matter more than privacy

Educational disclaimer

This playbook is educational research, not legal, tax, immigration, accounting, or banking advice. Treaty rates, BOI rules, visa eligibility, filing deadlines, and state fees change. Confirm the current rules and your facts with qualified Canada-US tax advisers and corporate or immigration counsel before forming, funding, or operating the company.

One clean sequence from Canada to the US

Once the ownership and entity decision is clear, most remote-first launches can move through this sequence in parallel.

1

Choose entity, state, and operating model

Decide whether VC, a remote service business, a Canadian parent, or a US physical footprint is driving the structure. Use the state selector if unclear.

1–3 days
2

File formation documents and appoint the agent

Keep the Canadian owner, US entity, and registered-agent records consistent. Save stamped documents, bylaws or operating agreement, and ownership records.

1–5 business days
3

Get the EIN from the IRS

Use the phone or fax process if you do not have an SSN or ITIN. Save the confirmation letter and use the exact legal name everywhere.

Same day by phone; longer by fax
4

Check BOI and open banking

Review the current FinCEN rule, then apply to Mercury or Relay. Add TD Bank US, RBC Bank, or Chase when the relationship or transaction needs justify it.

3–10 business days
5

Set the Canada-US tax, visa, and compliance calendar

Before first revenue or dividend, map treaty forms, federal returns, state renewals, Canadian reporting, and whether TN, E-2, L-1, O-1, or remote operation fits your plans.

Before launch and every year

Questions Canadian founders ask first

Usually, yes. A Canadian founder can form a US LLC or C-Corp remotely, use a registered agent, apply for an EIN, and apply for remote-first banking. Ownership and remote management from Canada do not by themselves authorize work physically performed in the United States.
No. Delaware is the familiar choice for VC-backed C-Corps. Wyoming is often more economical for a simple, bootstrapped LLC. If you operate in another state, local registration and tax obligations can outweigh the formation-state savings.
Canadian citizens may have TN, E-2, L-1, or O-1 pathways depending on the role, investment, related entities, and evidence. A business visit is not the same as authorization to perform productive work. Confirm current rules with qualified counsel.
Check the current BOI obligation, open the bank account, set up payment processing, and give a Canada-US tax adviser the ownership and transaction facts. Calendar federal filings, state renewals, Canadian reporting, and any Form 5472 or treaty documentation.
Start with the registered agent and state renewal or franchise tax, then add federal returns, Canadian reporting, and any US-Canada tax support. A straightforward Wyoming launch may fit around $600–$2,500 per year; a Delaware C-Corp, active operations, payroll, or coordinated advisers can be materially higher.
